Terms of Service

1. Agreement to Terms

By accessing or using the GAZUM® Market Intelligence platform ("Service"), operated by GAZUM® Corp. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and GAZUM® Corp. Please read them carefully.

2. Description of Service

GAZUM® Market Intelligence is a web-based trading intelligence platform that provides:

  • Real-time and delayed equities, futures, and crypto market data
  • Stock, futures, and crypto scanning tools, including custom scanner builders
  • Chart visualization with technical indicators, drawing tools, and TradingView integration
  • Market Profile, TPO charts, and Auction IQ for auction-based analysis
  • DepthVision order-flow heatmap, Depth of Market (DOM), and Times & Sales
  • AI-powered features including AI Coach, AI Copilot, AI Ensemble, Pre-Trade Coach, Screenshot-to-Setup, Pattern Recognition, AI Scores, Price Predictions, Squeeze Calculator, News Impact Predictor, and Earnings Surprise Predictor
  • Trade journal with MFE/MAE, R-multiple, playbooks, CSV import from multiple brokers, trade replay, and AI-generated trade critiques
  • Watchlists, alerts, earnings and economic calendars, SEC filings, and financial statements
  • News aggregation and sentiment analysis
  • Live trading integration with connected brokers (e.g. TradeStation, Rithmic)
  • Voice-assisted features (text-to-speech briefings, speech-to-text coaching)
  • Education library with video courses and interactive quizzes
  • Community features including chat, shared watchlists, public profiles, and an alert marketplace

The Service is designed for informational and educational purposes only and does not constitute financial advice.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Invite-Only Registration

The Service currently operates in an invite-only mode. New accounts require a valid invitation code, which may be provided via a waitlist email, a referral link, or direct admin grant. We reserve the right to transition the Service to open registration at our sole discretion.

4.2 Account Creation

To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update your information to maintain its accuracy.

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use or security breach

We strongly recommend enabling two-factor authentication (2FA) for enhanced security.

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Extended periods of inactivity
  • Any reason at our sole discretion

5. Subscription Plans and Payment

5.1 Subscription Tiers

The Service offers the following subscription options:

  • FREE: Limited features, no payment required
  • PRO: Enhanced features, monthly or annual subscription
  • ENTERPRISE: Full platform access, monthly or annual subscription

In addition, the following additive Starter Packs may be purchased alongside any base tier (each is an independent subscription):

  • Journal Starter: Trade journal, unlimited trades, CSV broker import, playbooks, MFE/MAE analytics, trade replay
  • Futures Starter: DepthVision, DOM, Times & Sales, TPO + Auction IQ, Rithmic real-time data
  • Swing Starter: Watchlists, News Room, AI Scores, SEC Filings, Financial Statements, Economic + Earnings calendars
  • Scanner Starter: Ten active scanners, AI Pattern Recognition, Smart alerts, Top Gainers v2

A White Label enterprise option is also available for prop firms and institutional customers on custom terms (contact sales@gazum.com).

5.2 Pricing and Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • Prices are subject to change with 30 days' notice
  • All fees are quoted and charged in U.S. dollars (USD)
  • Payment processing is handled by Stripe, Inc. — we do not store full card numbers on our servers
  • Applicable taxes, where required, will be added at checkout

5.3 Refund Policy

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rated refund available within the first 30 days
  • Trial periods: No charge if cancelled before the trial ends
  • Promotional codes / admin-granted trials: Non-redeemable for cash

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service for:

  • Personal, non-commercial market research and analysis
  • Educational purposes related to stock, futures, and crypto trading
  • Making informed personal investment decisions
  • Sharing watchlists and alerts with your own network within features designed for that purpose

6.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose
  • Share your account credentials with others
  • Resell, redistribute, or commercially exploit the Service or any market data accessed through it
  • Scrape, crawl, or automatically extract data from the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Circumvent any access controls, feature gates, or usage limits
  • Transmit malware, viruses, or harmful code
  • Interfere with the Service's operation or other users' access
  • Use the Service to manipulate markets, engage in fraud, or violate applicable securities laws
  • Use the AI features to generate content that is unlawful, defamatory, or infringes on third-party rights

7. Third-Party Services and Market Data

The Service depends on third-party providers for certain functionality:

  • Market data is supplied by QuoteMedia and Rithmic. Data is provided "as-is" and subject to those providers' terms and availability.
  • Brokerage integration (e.g. TradeStation) operates via official OAuth APIs — you authorize each broker connection separately, and you can revoke access at any time.
  • AI features send prompts and, in some cases, your user-generated content (e.g. trade journal entries, screenshots) to third-party AI providers (Anthropic and others). See our Privacy Policy for details.

We are not liable for outages, inaccuracies, or unavailability of third-party services.

8. Intellectual Property

The Service, including all software, design, trademarks, and branding (including the GAZUM® mark), is owned by GAZUM® Corp. or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription. You do not acquire any ownership rights in the Service or its content.

Content you create on the Service (custom scanners, watchlists, trade journal entries, playbooks, uploaded screenshots) remains yours. By using features that share content with other users (e.g. public profiles, shared watchlists, the alert marketplace) you grant us a non-exclusive license to display that content within the Service.

9. Disclaimers

9.1 No Financial Advice

IMPORTANT: THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. All information, data, analysis, AI scores, predictions, signals, trade critiques, and chart interpretations are provided for informational and educational purposes only. You should conduct your own research before making investment decisions, consult with qualified financial professionals, and never rely solely on the Service for investment decisions.

9.2 No Guarantee of Accuracy

We do not guarantee that:

  • Market data will be accurate, complete, or timely
  • AI predictions, scores, or signals will be correct
  • Scanner results will identify profitable opportunities
  • The Service will be error-free or uninterrupted
  • Broker connections will reliably execute orders without delay or error

9.3 Investment Risks

WARNING: TRADING SECURITIES, FUTURES, AND CRYPTOCURRENCIES INVOLVES SUBSTANTIAL RISK OF LOSS. You could lose some or all of your investment. Past performance does not guarantee future results. AI predictions, historical patterns, backtested strategies, and paper-trading results may not predict future real-money outcomes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAZUM® CORP. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Trading losses or investment decisions based on the Service
  • Service interruptions or data inaccuracies
  • Acts or omissions of third-party providers (market data, brokers, AI, email, payment processors)
  • Any damages exceeding the fees you paid in the 12 months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless GAZUM® Corp. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, USA, and the award shall be final and binding.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notice and/or email at least 30 days before they take effect. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms, together with the Privacy Policy and any additional policies referenced within them, constitute the entire agreement between you and GAZUM® Corp. regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not constitute a waiver of that right. You may not assign these Terms without our consent.
